These Terms of Service ("Terms") govern your access to and use of the DronesTrading website (https://www.dronestrading.com) and the purchase of civil unmanned aerial vehicle (UAV) products and export services offered by GUIDEON TECH (HK) Limited ("Company," "we," "us," or "our"). By browsing this website, submitting an inquiry, or entering into any purchase agreement with us, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you and DronesTrading.

We reserve the right to modify these Terms at any time. Any changes will be effective upon posting on this page with an updated "Last updated" date. Your continued use of our website after any changes constitutes acceptance of the updated Terms.

2. Products and Services

2.1 Product Description

DronesTrading specializes in the export of civil, non-military UAVs and related accessories for industrial applications, including but not limited to: oil and gas pipeline inspection, agricultural spraying, security surveillance, power line inspection, logistics delivery, and topographic mapping.

We endeavor to provide accurate product descriptions, specifications, and imagery on our website. However, we do not warrant that product descriptions or other content on our website are accurate, complete, reliable, current, or error-free. Final product specifications are confirmed at the time of order.

2.2 Non-Military Use Only

All products sold by DronesTrading are designated for civil, non-military use only. Purchasers agree that products will not be used for any military, defense, or weapons-related applications. DronesTrading reserves the right to refuse orders that we reasonably believe may be intended for prohibited uses.

2.3 Non-Exclusive Distribution

DronesTrading offers non-exclusive distribution rights. Purchasers do not acquire exclusive territory, exclusive product lines, or exclusivity of any kind unless a separate written agreement explicitly provides otherwise.

3. Orders and Payment

3.1 Order Process

Orders are initiated through inquiry submission via our website, email, or WhatsApp. A formal order is confirmed upon receipt of a written Purchase Order (PO) and payment confirmation. Orders are subject to product availability and export approval.

3.2 Pricing

All prices quoted are in USD (United States Dollars) unless otherwise stated. Prices are subject to change without notice. Final pricing is confirmed in the proforma invoice (PI) issued to the buyer.

3.3 Payment Terms

Standard payment terms are 30% deposit upon order confirmation, 70% balance before shipment. We accept payment via bank transfer (T/T) to our designated bank account. Payment terms may vary for established business relationships.

3.4 Taxes and Duties

Prices do not include import duties, taxes, customs clearance fees, VAT, or any other charges applicable in the destination country. All such charges are the responsibility of the buyer.

4. Export Compliance

4.1 Chinese Export Regulations

All exports from China are subject to applicable Chinese laws and regulations, including but not limited to the Export Control Law of the People's Republic of China and related dual-use goods regulations. DronesTrading holds the necessary export permits and complies with all applicable export control requirements.

4.2 Destination Country Regulations

Buyers are solely responsible for ensuring that imported products comply with all applicable laws, regulations, and import permit requirements in the destination country, including civil aviation authority approvals, customs clearance, and any industry-specific regulations in the UAE, Saudi Arabia, or other Middle Eastern markets.

4.3 Restricted Destinations

DronesTrading does not accept orders destined for countries under international sanctions, embargoes, or export restrictions as designated by the United Nations, United States, European Union, or People's Republic of China. This list is subject to change without notice.

5. Shipping and Delivery

5.1 Shipping Terms

Standard shipping terms are EXW (Ex Works) or FOB (Free on Board) from designated Chinese ports, unless otherwise agreed in writing. We work with experienced freight forwarders to arrange sea freight or air freight to Middle Eastern ports.

5.2 Delivery Time

Estimated delivery times are provided at the time of order confirmation and are based on production schedules, shipping method, and destination. DronesTrading is not liable for delays caused by factors beyond our reasonable control, including customs clearance, port congestion, weather, or force majeure events.

5.3 Risk of Loss

Risk of loss or damage to products transfers to the buyer upon delivery to the carrier at the port of shipment. We strongly recommend purchasing marine cargo insurance. DronesTrading is not responsible for loss or damage during transit.

5.4 Customs and Import

Buyers are responsible for all customs clearance procedures, import duties, taxes, and compliance with local regulations in the destination country. DronesTrading will provide all necessary export documentation, including commercial invoice, packing list, and Certificate of Origin.

6. Intellectual Property

All content on this website, including text, graphics, logos, images, product specifications, and software, is the property of DronesTrading or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.

Buyers may not use DronesTrading's trademarks, branding, or proprietary information for any commercial purpose without prior written consent. Product brand names and manufacturer trademarks remain the property of their respective owners.

7. Warranty and Returns

7.1 Product Warranty

Products are covered by the manufacturer's standard warranty. Warranty terms, duration, and coverage vary by manufacturer and product model. Warranty information is provided with each product at the time of shipment.

Warranty claims are processed through DronesTrading. The buyer must report any defect or non-conformity within 7 days of receipt of goods. Warranty does not cover damage caused by misuse, improper handling, unauthorized modifications, or normal wear and tear.

7.2 Returns Policy

Due to the nature of industrial export products, returns are accepted only in cases of verified product defect or significant non-conformity with agreed specifications. All returns require prior written authorization from DronesTrading.

8. Limitation of Liability

To the fullest extent permitted by applicable law, DronesTrading shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or related to the use of our website, products, or services.

Our total liability for any claim arising out of or related to our products or services shall not exceed the total amount paid by the buyer for the specific product or service giving rise to the claim.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law provisions.

9.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the purchase of products from DronesTrading shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails within 30 days, disputes shall be submitted to mediation in Hong Kong.

If mediation fails, disputes shall be resolved through arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its Arbitration Rules. The seat of arbitration is Hong Kong. The language of arbitration is English.

9.3 Force Majeure

DronesTrading shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, sanctions, epidemic, government actions, port congestion, or supply chain disruptions.
